BONND Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the BONND mobile application and related services (collectively, the "Service") provided by BONND App, Inc., a Delaware corporation ("BONND," "we," "our," or "us").

By applying for membership, creating an account, RSVPing to an event, attending an event, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, you must discontinue use of the Service.

We may update these Terms periodically. The most current version will always be available within the App and on www.bonndapp.com. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

1. Eligibility and Membership

The Service is available only to individuals eighteen (18) years of age or older. By using the Service, you represent that you meet this requirement.

Membership is subject to approval by BONND in its sole discretion. Submission of an application does not guarantee acceptance. BONND may revoke, suspend, or terminate membership at any time if a Member violates these Terms, provides false or misleading information, or engages in conduct inconsistent with BONND's standards.

2. Registration and Account Security

Members must provide accurate, complete, and current information during registration and maintain the accuracy of that information. BONND may request your Instagram handle or other publicly available social media information to verify eligibility and assess membership applications.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify BONND immediately of any unauthorized access or security breach. BONND is not responsible for any loss or damage arising from unauthorized use of your credentials.

3. Use of the Service

The Service exists to facilitate access to curated in-person events and experiences. Members agree to use the Service lawfully, respectfully, and in accordance with these Terms.

Prohibited conduct includes, but is not limited to:

  • Harassment, abuse, discrimination, or hate speech
  • Unlawful activity or violation of applicable laws
  • Misrepresentation of identity or affiliation
  • Interference with the security or operation of the Service
  • Unauthorized commercial solicitation or advertising
  • Copying, scraping, reverse engineering, or attempting to derive the source code of the Service

BONND does not guarantee the accuracy of event information provided by hosts and is not responsible for the conduct of hosts, venues, or other attendees. Attendance at events is voluntary and at your own risk.

4. Fees and Payments

Use of the Service is currently free. BONND reserves the right to introduce membership fees, subscriptions, or paid features in the future. Before any fees are charged, BONND will provide notice of pricing, renewal terms, and cancellation procedures.

All payments, if introduced, will be processed securely by third-party payment providers. BONND will not store your payment card details.

5. Member Content and License

Members may submit limited content, such as profile images, biographies, or other information. By submitting content, you represent that you own or have rights to it and that it does not infringe on the rights of others.

You grant BONND a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and otherwise use such content solely as necessary to operate and promote the Service. BONND may remove or disable access to content at its discretion if it violates these Terms or applicable laws.

6. Intellectual Property

The Service, including its software, trademarks, logos, content, and design, is the property of BONND or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer, decompile, or create derivative works based on the Service except as expressly permitted by BONND.

7. Event Participation and Release

By RSVPing to or attending any event affiliated with BONND, you acknowledge that participation is voluntary and at your own risk. You assume all risks, known and unknown, associated with attendance and interactions with others.

You release BONND, its officers, directors, employees, affiliates, and agents from any and all claims, demands, or causes of action arising out of or related to your attendance or participation in any event. You further agree to indemnify and hold harmless BONND from any claims, liabilities, or damages arising from your conduct at such events.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. BONND disclaims all warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

BONND does not guarantee uninterrupted or error-free operation of the Service or the accuracy or reliability of any content, event, or information made available through the Service.

Attendance at events is voluntary and at your own risk. BONND is not liable for the actions or omissions of Members, hosts, venues, or third parties.

9. Limitation of Liability

To the maximum extent permitted by law, BONND and its affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service or attendance at events, even if BONND has been advised of the possibility of such damages.

In no event shall BONND's total liability for all claims exceed the greater of one hundred dollars ($100) or the amount you paid directly to BONND in the six (6) months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may apply only to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless BONND, its officers, directors, employees, affiliates, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your content
  • Your conduct at BONND-affiliated events

11. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.

The seat and venue of arbitration will be in the State of Delaware, United States. Each party will bear its own legal fees unless the arbitrator awards otherwise.

Arbitration shall be conducted on an individual basis only. Class arbitrations, class actions, representative actions, private attorney general actions, and consolidation of proceedings are not permitted. You and BONND expressly waive any right to a jury trial.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Subject to the arbitration provision above, the state and federal courts located in Delaware will have exclusive jurisdiction, and you consent to the personal jurisdiction of such courts.

13. Changes to the Service and Terms

BONND may modify, suspend, or discontinue the Service or any part thereof at any time. We may also amend these Terms from time to time. If we make material changes, we will provide notice in the App or by email. Continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.

14. Termination

Members may terminate their account at any time through the App. BONND may suspend or terminate access to the Service for violations of these Terms, unlawful conduct, inactivity, or any other reason in its sole discretion.

Upon termination, provisions that by their nature should survive will remain in effect, including those relating to intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

15. Entire Agreement and Severability

These Terms, together with the Privacy Policy, constitute the entire agreement between you and BONND and supersede any prior understandings or agreements. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
